1. Agreement to Terms

By accessing or using the website and services provided by K Madison Media(“Company,” “we,” “us,” or “our”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, you must not access or use our services. These Terms constitute a legally binding agreement between you and K Madison Media.

2. Description of Services

K Madison Media provides digital marketing services including but not limited to:

• AI-powered marketing automation and lead follow-up
• Search engine optimization (SEO) and local ranking services
• Content marketing, social media management, and video production
• Lead generation through paid advertising and funnel creation
• Website design, development, and optimization
• CRM setup, pipeline management, and workflow automation

Specific deliverables, timelines, and scope of work will be outlined in a separate service agreement or proposal provided to each client.

3. User Responsibilities

By using our services, you agree to:

• Provide accurate, current, and complete information as requested
• Maintain the security of your account credentials
• Promptly notify us of any unauthorized access to your account
• Not use our services for any unlawful, fraudulent, or harmful purpose
• Not interfere with or disrupt the operation of our website or services
• Comply with all applicable laws, regulations, and third-party terms when using our services
• Provide timely feedback, approvals, and access to accounts and materials necessary for us to perform our services

4. Payment Terms

• Fees for services are outlined in your specific service agreement or proposal.
• Payment is due on the date specified in your agreement. Late payments may incur a fee of 1.5% per month on any outstanding balance.
• All fees are non-refundable unless otherwise stated in your service agreement.
• Ad spend is paid directly to the advertising platforms (Google, Meta, etc.) and is separate from our service fees.
• We reserve the right to suspend or terminate services for non-payment after providing 10 days written notice.

5. Intellectual Property

All content, designs, code, graphics, logos, and materials created by K Madison Media remain our intellectual property until full payment is received for the applicable services. Upon full payment:

• Custom content, designs, and deliverables created specifically for your business are transferred to you.
• Proprietary systems, templates, frameworks, AI models, and automation workflows remain the property of K Madison Media.
• You may not resell, redistribute, or sublicense our proprietary tools or systems.

6. Communications Compliance (TCPA / CAN-SPAM)

By providing your phone number and/or email address and opting in, you consent to receive communications from K Madison Media:

• SMS/Text Messages: You may receive appointment reminders, service updates, and marketing messages. Message frequency varies. Message and data rates may apply. Reply STOP to opt out, HELP for assistance.
• Email: You may receive newsletters, promotional offers, and service-related communications. You can unsubscribe at any time via the link in any email.
• Phone Calls: We may contact you by phone regarding your inquiry or services. Calls may be recorded for quality and training purposes where permitted by law.
• Consent to receive communications is not a condition of purchase.
• We comply with the Telephone Consumer Protection Act (TCPA), CAN-SPAM Act, and all applicable federal and state regulations.

7. Limitation of Liability

To the fullest extent permitted by applicable law:

• K Madison Media provides services “as is” without warranties of any kind, express or implied.
• We do not guarantee specific results, rankings, lead volumes, or revenue outcomes. Marketing results depend on many factors outside our control.
• In no event shall K Madison Media be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our services.
• Our total liability for any claim arising from our services shall not exceed the total fees paid by you to us in the three (3) months preceding the claim.

8. Termination

• Either party may terminate the service relationship with 30 days written notice unless otherwise specified in your service agreement.
• We reserve the right to immediately terminate services if you violate these Terms, engage in fraudulent activity, or fail to make payment after notice.
• Upon termination, you are responsible for payment of all fees incurred up to the termination date.
• We will provide reasonable assistance in transitioning your accounts and assets upon termination.

9. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of New Jersey, without regard to its conflict of law provisions. Any disputes arising from these Terms or our services shall be resolved in the state or federal courts located in Bergen County, New Jersey.
